1. DEFINITIONS
“Contractor” means WF Electrical Contractors Pty Ltd.
“Customer” means the party engaging the Contractor.
“Works” means all labour, services, materials, equipment and associated works supplied by the Contractor.
“Quote” means any written or verbal quotation issued by the Contractor.
2. ACCEPTANCE
2.1 Acceptance of any quotation, estimate, booking, instruction to proceed, or allowing works to commence constitutes acceptance of these Terms & Conditions.
2.2 Unless otherwise stated in writing, quotations are valid for 30 days from the date issued.
3. PAYMENT TERMS
3.1 Payment is due on receipt unless otherwise agreed in writing.
3.2 For projects exceeding $10,000, the Contractor may require a deposit or progress payments prior to commencement or during the works.
3.3 The Contractor may charge interest on overdue accounts at 10% per annum calculated daily.
3.4 The Customer is responsible for all reasonable debt recovery; legal and collection costs associated with overdue accounts.
3.5 Fault-finding, diagnostic and investigation works are chargeable based on time spent attending site and investigating the issue, regardless of whether the fault is ultimately located or repaired.
4. VARIATIONS
4.1 Variations may arise due to:
• customer-requested changes;
• concealed or unforeseen site conditions;
• non-compliant existing electrical installations;
• switchboard upgrades required for compliance;
• additional labour or materials required to complete the works safely or lawfully.
4.2 Variations may be approved verbally, electronically, in writing, or by allowing additional
works to proceed.
4.3 All variations are chargeable.
5. SITE ACCESS & CALL OUTS
5.1 The Customer must provide safe and reasonable access to the site during agreed
attendance times.
5.2 If the Contractor attends site and is unable to access the property, commence works, or
proceed due to customer-related delays, a call out fee and/or additional charges may
apply.
5.3 The Contractor may suspend works where site conditions are unsafe.
6. LATENT CONDITIONS & EXISTING INSTALLATIONS
6.1 Works are based on visible site conditions only.
6.2 Existing installations found to be unsafe, damaged, deteriorated, or non-compliant may
require additional rectification works to comply with current standards and legislation.
6.3 The Contractor will perform electrical works in accordance with applicable Australian
Standards, Queensland legislation and electrical safety requirements.
6.4 Any additional works required due to hidden conditions or existing non-compliant
installations shall constitute a variation.
6.5 If asbestos or hazardous materials are suspected or identified, the Contractor may cease
works until the area is assessed and made safe.
7. EXCLUSIONS
7.1 Unless specifically included in writing, quotations exclude:
• asbestos identification, testing, removal or remediation;
• patching, painting or making good;
• builder’s works or civil works;
• trenching or excavation;
• engineering or certification;
• after-hours works;
• authority or utility provider fees;
• temporary power;
• hazardous material handling; and
• upgrades required due to existing non-compliant installations.
8. PROCUREMENT, SUPPLIER DELAYS & SUBSTITUTE MATERIALS
8.1 Material lead times are estimates only and subject to supplier confirmation.
8.2 The Contractor is not liable for delays caused by:
• supplier shortages;
• manufacturer delays;
• freight disruptions;
• import restrictions;
• market conditions.
8.3 The Contractor may substitute materials or equipment with equivalent products where:
• original products are unavailable;
• delays are unreasonable; or
• specifications allow reasonable equivalence.
8.4 Pricing is based on works being undertaken during normal working hours unless otherwise
stated. Works outside normal working hours may incur additional costs.
9. RISE & FALL
9.1 Pricing is based on material costs at the date of quotation.
9.2 If material or equipment costs increase or decrease after the tender date, the contract
price may be adjusted accordingly.
9.3 This includes:
• copper;
• cable;
• switchboards;
• import costs;
• freight;
• taxes or duties;
• supplier price changes.
9.4 The Contractor may provide supporting evidence upon reasonable request.
9.5 This clause may operate independently of any other pricing provision unless expressly
excluded in writing.
10. UNDERGROUND SERVICES
10.1 Customer must identify all underground services prior to commencement.
10.2 The Contractor accepts no responsibility for unidentified services.
10.3 Damage or delays arising from unidentified services are a variation.
11. DELIVERY, STORAGE & SITE RECEIPT
11.1 Delivery is deemed complete when goods are delivered to site or nominated location.
11.2 Risk transfers upon delivery.
11.3 The Contractor is not responsible for loss, theft, or damage after delivery.
11.4 Storage, redelivery, handling delays, or inability to receive goods may incur additional
costs and programme impacts.
12. SPECIALTY EQUIPMENT DISCLAIMER
12.1 The Contractor does not guarantee acoustic performance, vibration levels, or operational
noise of installed mechanical or electrical equipment.
12.2 The Contractor is not responsible for relocation or modification of installed equipment
due to neighbour complaints or authority direction unless caused by Contractor fault.
12.3 Responsibility for security and protection of installed equipment passes to the Customer
upon installation.
13. DEFECTS, WARRANTIES & NOTIFICATION
13.1 The Customer must notify the Contractor of any defect, issue, or claim within 7 days of
becoming aware of the defect or issue.
13.2 Failure to notify within a reasonable timeframe may prejudice the Contractor’s ability to
investigate or rectify the issue.
13.3 The Contractor is not liable for defects arising from:
• misuse;
• interference by others;
• design issues;
• pre-existing conditions.
13.4 The Contractor’s liability is limited to rectification of defective workmanship only.
13.5 Manufacturer warranties applicable to supplied products shall pass through to the
Customer where available.
13.6 Warranty claims do not cover defects or damage arising from misuse, accidental
damage, third-party interference, power surges, water ingress, environmental factors,
normal wear and tear, or pre-existing defects.
13.7 The Contractor accepts no responsibility for defects, performance, compatibility, delays
or warranty issues relating to materials, equipment or products supplied by the Customer.
14. CANCELLATION
14.1 The Customer may cancel works at any time but remains liable for:
• works completed;
• materials ordered;
• non-refundable supplier costs;
• call out fees; and
• costs reasonably incurred up to the date of cancellation.
14.2 Any deposit paid may be applied against such costs.
15. SUSPENSION RIGHTS
15.1 The Contractor may suspend works where:
• payment is overdue;
• site is unsafe;
• access is restricted;
• programme disruption occurs.
15.2 Suspension may result in:
• delay costs;
• remobilisation costs;
• EOT entitlement.
16. LIMITATION OF LIABILITY
16.1 Nothing in these Terms & Conditions excludes, restricts or modifies any consumer
guarantee, right or remedy conferred by the Australian Consumer Law or any other
applicable legislation that cannot lawfully be excluded.
16.2 To the extent permitted by law, the Contractor’s liability is limited to:
• rectification of defective workmanship;
• replacement of defective goods; or
• reimbursement of the affected portion of the contract value.
16.3 The Contractor shall not be liable for:
• consequential loss;
• loss of profit;
• delay damages;
• loss of production;
• indirect losses; or
• liquidated damages unless expressly agreed in writing.
16.4 Unless expressly agreed in writing, quotations are submitted on a no retention and no
liquidated damages basis.
17. FORCE MAJEURE
17.1 Neither party is liable for delays caused by events outside reasonable control including:
• natural disasters;
• industrial action;
• pandemics;
• government actions;
• supply chain disruptions;
• utility failures.
18. PPSR & RETENTION OF TITLE
18.1 Ownership of goods remains with the Contractor until full payment is received.
18.2 The Customer grants a security interest under the PPSA.
18.3 The Contractor may:
• register its security interest;
• enforce rights under PPSA;
• recover goods where permitted by law.
18.4 The Contractor may enter premises where goods are located to recover unpaid goods
where lawful.
19. NOTICES
19.1 Notices may be given by:
• email;
• post; or
• electronic communication.
19.2 Notices are deemed received in accordance with ordinary commercial practice.
20. GOVERNING LAW
20.1 These Terms are governed by the laws of Queensland.
20.2 Parties submit to Queensland jurisdiction.
21. ENTIRE AGREEMENT
21.1 These Terms & Conditions apply except where superseded by an executed subcontract
agreement.
21.2 Where a formal subcontract agreement is executed, that agreement shall prevail to the
extent of inconsistency. These Terms & Conditions apply where no subcontract agreement
exists or where silent.
